Terms of Service

Kai is an AI companion app designed for conversation, reflection, reminders, check-ins, and everyday personal support. Kai is built to feel easy to talk to, but Kai is powered by artificial intelligence.

Kai is not human. Kai does not have human emotions, professional judgment, lived experience, or real-world awareness. Kai may generate responses that feel friendly, supportive, or personal, but those responses are created by AI systems.

Kai is not a therapist, counselor, doctor, medical provider, legal advisor, financial advisor, emergency service, or crisis support provider. Kai does not provide professional advice, diagnosis, treatment, counseling, therapy, or emergency assistance.

You must be at least 18 years old to use Kai.

By accessing or using Kai, you represent and warrant that you are at least 18 years old and have the legal capacity to agree to these Terms.

If you are under 18, you are not permitted to use Kai under any circumstances. We may suspend or delete any account if we believe the user is under 18 or has provided false age information.

Kai is for general conversation, companionship, reminders, reflection, and personal organization. Kai is not a substitute for professional advice or care.

Do not use Kai for medical emergencies, mental health crises, self-harm situations, legal decisions, financial decisions, safety-critical decisions, or other high-risk matters.

If you are experiencing thoughts of suicide, self-harm, harm to others, a mental health crisis, or any emergency, seek immediate help from emergency services or a qualified professional.

Kai may provide supportive language, but Kai cannot assess your safety, monitor you in real time, contact emergency services, or replace human support.

To use certain features of Kai, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

You agree not to create an account for another person, use another person's account without permission, impersonate another person, or provide false information.

If you believe your account has been accessed without authorization, contact us immediately at support@withkai.app.

Kai is intended only for adults. You agree not to allow anyone under 18 to access or use Kai through your account, device, or credentials.

We may use reasonable measures to enforce our 18+ requirement, including app store age settings, onboarding confirmations, account controls, and account review. However, you are responsible for truthfully representing your age and complying with these Terms.

You agree not to use Kai to:

• Violate any law, regulation, or third-party right
• Harm, threaten, harass, abuse, exploit, or deceive another person
• Generate, request, upload, or distribute illegal, hateful, abusive, exploitative, violent, or otherwise harmful content
• Use Kai for medical, mental health, legal, financial, emergency, or other high-risk decisions
• Create or operate accounts for anyone under 18
• Share your account credentials or allow unauthorized access to your account
• Attempt to jailbreak, manipulate, bypass, disable, or circumvent Kai's safety systems, usage limits, rate limits, access controls, or subscription restrictions
• Attack, overload, disrupt, interfere with, or degrade the Service or its infrastructure
• Use bots, scripts, scrapers, automated tools, or automated requests without our prior written permission
• Create accounts in bulk or use fake, misleading, or disposable account information to abuse the Service
• Reverse engineer, decompile, disassemble, copy, scrape, extract, or attempt to derive the source code, models, systems, prompts, data, or underlying technology of the Service
• Use Kai to develop, train, fine-tune, benchmark, or improve competing AI systems, models, products, or services without our prior written permission
• Upload viruses, malware, malicious code, or harmful files
• Misrepresent AI-generated content as human-generated when doing so would be deceptive, unlawful, or harmful
• Use Kai for commercial purposes without our prior written permission

Kai generates responses using artificial intelligence. You understand and agree that:

• AI responses may be inaccurate, incomplete, inappropriate, unexpected, outdated, or not suited to your situation
• Similar inputs may produce different outputs
• Kai may misunderstand your meaning, context, tone, or intent
• Kai's responses do not represent professional advice
• Kai does not guarantee accuracy, reliability, completeness, safety, or usefulness
• You are responsible for evaluating and deciding how to use or rely on any response

You should not rely on Kai as your sole source of truth, advice, emotional support, crisis support, or decision-making.

You may submit messages, prompts, text, audio, feedback, profile information, preferences, reminders, goals, and other content to Kai ("User Content"). You retain ownership of your User Content, subject to the rights granted in these Terms.

By using Kai, you grant Bolona Labs LLC a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, analyze, summarize, and use your User Content as needed to operate, provide, personalize, secure, maintain, support, troubleshoot, and improve Kai.

Our collection, use, storage, and sharing of personal information is described in our Privacy Policy.

Kai may use information you share to personalize your experience, remember context across conversations, summarize important details, and provide reminders or check-ins.

AI-generated memories, summaries, or personalization cues may be inaccurate or incomplete. You are responsible for reviewing and managing what Kai remembers about you.

You should not share information with Kai that you do not want processed by AI systems or stored as part of your Kai experience.

Your use of Kai is governed by our Privacy Policy (https://withkai.app/privacy), which explains how we collect, use, store, disclose, and protect information. By using Kai, you acknowledge our data practices as described in the Privacy Policy.

You may request deletion of your Kai account and associated data by using the deletion feature in the app, visiting withkai.app/delete-account, or contacting us at support@withkai.app or privacy@withkai.app.

Account deletion is permanent. Once processed, your Kai account, conversation history, memories, check-ins, profile data, and related account data will be deleted from our active systems and cannot be restored.

Some information may be retained where required or permitted by law, including records needed for security, fraud prevention, legal compliance, dispute resolution, tax, accounting, or billing.

Kai may offer free and paid features, including subscriptions, paid plans, upgrades, boosts, or other in-app purchases. If you purchase a subscription or other digital product through Google Play, Apple App Store, or another app store, your purchase is processed by the applicable app store and is subject to that app store's payment terms, refund rules, and cancellation policies.

Unless canceled, subscriptions may automatically renew according to the terms presented at checkout. You can manage or cancel your subscription through the app store account settings used to make the purchase.

If we offer founding pricing, discounts, trials, or promotions, those offers may be subject to additional terms and may be changed, limited, or discontinued where permitted by law.

We may offer free trials, discounts, promotional access, founding pricing, or limited-time features. Promotional terms may vary and may be changed or discontinued at any time where permitted by law.

If a free trial converts to a paid subscription, the applicable app store checkout flow will disclose the timing, amount, and renewal terms before purchase.

Kai may rely on or integrate with third-party services, including app stores, AI providers, hosting providers, database providers, payment processors, subscription management providers, notification providers, and other vendors.

We are not responsible for third-party services, policies, content, actions, outages, security incidents, or changes. Your use of third-party services may be subject to their own terms and policies.

Kai, including the app, website, name, design, interface, features, software, code, graphics, logos, icons, text, content, animations, prompts, systems, and related technology, is owned by Bolona Labs LLC or its licensors and is protected by intellectual property and other laws.

Except as expressly allowed by these Terms, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, create derivative works from, or exploit any part of Kai without our prior written permission.

If you send us ideas, suggestions, bug reports, feature requests, comments, or other feedback, you agree that we may use, disclose, reproduce, license, distribute, and otherwise exploit that feedback without restriction, obligation, or compensation to you.

We may update, modify, suspend, limit, or discontinue all or part of Kai at any time. We do not guarantee that Kai will always be available, uninterrupted, secure, error-free, accurate, or free from harmful components.

We may impose or change usage limits, rate limits, plan limits, feature availability, or other restrictions at any time where permitted by law.

You may stop using Kai at any time. We may suspend, restrict, or terminate your access to Kai at any time if we believe you violated these Terms, your use creates risk for us or others, or we are required to do so by law or app store rules.

Upon termination, your right to use Kai ends immediately. Sections that by their nature should survive will continue to apply.

To the maximum extent permitted by law, Kai is provided "as is" and "as available," without warranties of any kind. Bolona Labs LLC disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, and security.

You use Kai at your own risk.

To the maximum extent permitted by law, Bolona Labs LLC and its owners, officers, employees, contractors, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use Kai.

Our total liability for any claim arising out of or relating to Kai or these Terms will not exceed the greater of (1) the amount you paid to use Kai in the three months before the claim arose, or (2) $100.

You agree to defend, indemnify, and hold harmless Bolona Labs LLC and its owners, officers, employees, contractors, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses arising from your use of Kai, your User Content, your violation of these Terms, or your violation of any law or third-party right.

Before filing any claim, you agree to first contact us at support@withkai.app and attempt to resolve the dispute informally. If the dispute is not resolved within 30 days, either party may proceed as allowed under these Terms.

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or Kai will be resolved exclusively in the state or federal courts located in Los Angeles County, California.

You and Bolona Labs LLC consent to the personal jurisdiction and venue of those courts.

To the maximum extent permitted by law, you and Bolona Labs LLC waive any right to a jury trial in any dispute arising out of or relating to these Terms or Kai.

If you download Kai through Google Play, Apple App Store, or another app store, your use of Kai may also be subject to that app store's rules, terms, and policies. Google, Apple, and other app store providers are not responsible for Kai or its content, except as required by their own terms or applicable law.

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of Kai after the updated Terms become effective means you accept the updated Terms.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

You may not assign or transfer these Terms or your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

These Terms, together with our Privacy Policy and any additional terms presented to you for specific features or purchases, constitute the entire agreement between you and Bolona Labs LLC regarding Kai.
